Appalachian Cave Conservancy Officer Job Descriptions

President

The President shall:

Provide leadership to assist the conservancy board members, offices, and chairs to more effectively accomplish the organization’s mission.

Assist in the coordination of each officer’s work to ensure reasonable efficiencies and effective effort

Arrange for planning to appropriately meet future contingencies.

Represent or appoint representatives of the conservancy when appropriate.

Preside at conservancy meetings or arrange for another officer to preside.

Prepare conservancy meeting agendas.

Evaluate as necessary the performance of conservancy leaders.

Supervise the conservancy Secretary

Assume other appropriate duties as necessary or at the request of the board of directors.

 

Chairman of the Board

The Chairman of the Board shall:

Preside at conservancy meetings as requested by the president.

Assume duties of the President in the absence or incapacity of the president.

Assume other appropriate duties as necessary or at the request of the board of directors.

 

Vice President of Cave Management

The Vice President of Cave Management shall:

Appoint a chair of each conservancy stewardship cave.

Ensure that a management plan is produced for each conservancy cave.

Arrange for appropriate signs, gates and other cave management tools for each cave as appropriate.

Supervise and provide leadership as needed for the managers of the conservancy cave management committees.

Assume other appropriate duties as necessary or at the request of the board of directors.

 

Vice President of Finance and Information Systems

The Vice President of Finance and Information Systems shall:

Supervise the conservancy Treasurer

Ensure that an annual budget is prepared in cooperation with the other officers

Ensure that financial reports are prepared

Arrange for audits as appropriate

Supervise the conservancy information systems

Review the conservancy information systems for appropriate upgrades and quality control

Help education other conservancy leaders and members to better understand the conservancy finances and information systems.

Arrange for appropriate storage and archiving of conservancy records such as the minutes, correspondence, and contracts.

Appoint a chair for each conservancy financial and information systems committee as needed.

Assume other appropriate duties as necessary or at the request of the board of directors.

 

Vice President of Development and Public Relations

The Vice President of Development and Public Relations shall:

Help articulate the conservancy’s mission, goals, and activities.

Help education other conservancy leaders and members to better understand the conservancy and help further its goals.

Appoint chair for each conservancy communication medium.

Develop a fundraising plan for the conservancy.

Appoint a chair for each fund raising activity or event.

Assume other appropriate duties as necessary or at the request of the board of directors.

 

Legal Officer

Because the legal officer does not represent the conservancy and will not offer legal advice, the legal officer need not be a lawyer. Some legal training or experience is desirable.

The Legal Officer shall:

Serve as an advisor to the conservancy on legal matters. 

Be available at reasonable times to discuss legal matters with other officers and with the board of directors as needed

Review the conservancy annual reports as needed

Advise the board of directors as to when it is appropriate to seek legal advice or representation from an attorney licensed to practice in the relevant jurisdiction.

Help educate other conservancy leaders and members to better understand the conservancy legal matters

Help the board of directors understand legal risk assessment

Appoint a chair for each conservancy legal committee as needed.

Assume other appropriate duties as necessary or at the request of the board of directors.

 

Secretary

The Secretary shall record and present the minutes of the board of directors meetings to the President and the board

 

Treasurer

The Treasurer shall:

Maintain a financial lager of the conservancy

Manage accounts payable and receivable.
